TERMS AND CONDITIONS OF SERVICES

Welcome to Dum & Co, a website service designed especially for small businesses and real estate agents. These terms of use are intended to explain our obligations as a service provider and your obligations as a customer. Please read them carefully.

In the below terms and conditions, you won’t find any complicated legal terms or long passages of unreadable text to trick you to sign something you might regret later. It is important though to read all terms and conditions and ask questions.

Summary

We will always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when and understand all terms. There are two options that you have when you are hiring Dum & Co located at Rockingham to design and develop a website.

OPTION ONE: HTML AND SIMPLE CMS SITES - DESIGNS:

 We create look-and-feel designs that adapt to the capabilities of many devices and screen sizes.  We create digital works predominantly using ‘Joomla’ and 'Grav"  as our platforms.  Unless we have agreed with you otherwise in writing, we will use the process we consider most appropriate to build digital works for you. Once we finish the project to full satisfaction and payment our relationship is over. We can install your website on any hosting of your choice. Any issues in the future with websites like CMS are not our responsibility unless you engage Dum & Co for maintenance. Unfortunately, since these are server-run applications we cannot sign contracts for maintenance if you opt to host with another provider. The reason is - we don't know the server and how secure it is and how often it is updated. HTML and Grav do not require maintenance. If you opt however to use our hosting and maintenance for your CMS website - we have maintenance packages here. 

Below there are the standard design terms & conditions:

  • Requests:  Most correspondence will be via email as this gives us factual records of change and update requests
  • Text content:  We’re not responsible for writing or inputting any text copy. If you’d like us to write new content or input text for you, we can provide a separate estimate for that. We also provide editorial content services for SEO but they require contracts. See the package here.
  • Revisions:  We allow for two revisions, changes or updates after the first draft (as agreed) is sent to you and agreed on. After the second revision, changes are charged at our standard maintenance rate, which will be specified in our project proposal.
  • Media:  You should supply graphic files to us in an editable, vector digital format or .jpeg / .png. You should supply photographs to us in a high-resolution digital format. In some packages, we offer stock images but if you need more we can offer you where you can buy more stock images or videos.

OPTION TWO: FULL SOFTWARE AND MARKETING SOLUTIONS:

These Terms are binding on any use of the Service and apply to you from the time that Dum& Co provides you with access to the Service.

By accepting these Terms and Conditions, you acknowledge and agree to:

  1. Dum & Co will grant you the right to access and use all website features designed for your business and available to you according to your selected package. This right is non-exclusive, non-transferable, and limited by and subject to this Agreement. That means you cannot transfer your website to another provider or transfer your rights to the site to any other person (sell):
      1. You will be able to request all content that you own like graphic design, texts, email lists, subscribers, your domain and any other assets that you fully own. The backup of your content will be provided then in XML format.
      2. Content Management System that was originally set up for you and is open source
      3. Themes and other software installed - are not transferrable.
  2. We offer ONLY full website-managed solutions to clients for their internet presence - hence all services are included in the package and cannot be separated. We will look after server updates, software updates and securities.
  3. Some Software installed on your website CREATE Intellectual Property of Dum & Co and is not transferrable to another hosting OR design company: Reviews Software, Newsletter Software and SEO tools as well as some elements of website building add-ons. automation and structured data-related applications.
  4. All SSL certificates are hosted with Dum & Co hence also not transferrable.
  5. FORCE MAJEURE: We understand that sometimes you might be forced to sell your business and a website as your hard work on traffic there for a lead generation would constitute some asset that will have value for your prospective buyer.  In circumstances like this, we are happy to assist you with transferring rights to a new user, or if your prospect does not want to use Dum & Co to transfer CMS ( Joomla and its content only ) That would mean some features of the website wouldn't work like Newsletter or automation or custom Open Graph data etc. You need to contact us to discuss and we will find a solution and assist you. Otherwise, you have no rights to sell the site with our software installed. Please note that payment will be required for this service.
  6. Failed ON-TIME Payment Fees will be charged $15
  7. We design your website to your specification without upfront fees. The monthly payments are calculated and spread for design services for 48 months. However, if you for some reason cancel the contract you will have to pay reminder fees for work done for you.
